Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website at vitisecurity.com (the "Website") and all products, subscriptions, and services provided by VITI Security LLP ("VITI Security", "we", "us", "our") (together, the "Services"). By accessing the Website, creating an account, or purchasing any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age and competent to enter into a binding contract under applicable law. By using the Services, you represent and warrant that you meet this requirement.

2. About us

VITI Security LLP is a Limited Liability Partnership incorporated under the Limited Liability Partnership Act, 2008 of India, with registered office in Patna, Bihar, India.

3. The Services

Our Services include, among others:

  • cybersecurity consulting, auditing, and hardening services;
  • VICIdial cloud hosting (managed and unmanaged plans);
  • managed power dialer and communications infrastructure;
  • subscription software products (e.g., the VanGuard line);
  • custom IT consulting, web development, and related engagements.

Availability, features, and pricing of specific Services are described on the Website and on each product page. We may modify, suspend, or discontinue any Service at any time, with reasonable prior notice for paid Services where practicable.

4. Accounts

Some Services require you to create an account. You agree to:

  • provide accurate, current, and complete information;
  • maintain the confidentiality of your login credentials;
  • notify us immediately of any unauthorised access;
  • accept responsibility for all activity under your account.

We may suspend or terminate accounts that violate these Terms, are inactive for extended periods, or pose security risks.

5. Pricing, payment, and subscriptions

  • Prices are displayed on the Website in the currency indicated, inclusive or exclusive of taxes as stated at checkout. Indian customers may be charged GST as applicable.
  • Payment methods currently accepted: PayPal. Enterprise customers may be invoiced directly under a separate commercial agreement. Payments processed by PayPal are subject to PayPal's own terms and privacy policy.
  • Subscriptions (monthly, quarterly, annual) automatically renew for successive terms equal to the initial term at the then-current price, unless cancelled before the renewal date per Section 7.
  • Price changes may apply from the next renewal cycle. We will notify you by email at least 30 days before any price increase takes effect.
  • Promotional discounts may be offered from time to time by email to selected users. Discounts are non-transferable, cannot be combined with other offers, and apply only to the first billing cycle unless stated otherwise.

6. Setup and onboarding fees

Certain Services may carry a one-time setup or onboarding fee, disclosed at the time of purchase or in your commercial agreement. Setup and onboarding fees are non-refundable once onboarding work has commenced.

7. Cancellation and refunds

7.1 How to cancel

Cancellation is not self-service. To cancel a subscription, email [email protected] from the email address registered on your account. Cancellation is effective on the date of our written acknowledgment.

7.2 Refund terms

  • Within 30 days of initial purchase: you are eligible for a refund of up to 80% of the amount paid for the then-current billing cycle. The remaining 20% covers transaction, provisioning, and onboarding costs and is non-refundable.
  • After 30 days (annual or quarterly plans): refunds are issued on a pro-rated basis for the unused portion of the current billing cycle, less any non-refundable setup/onboarding fees.
  • Monthly plans: no refund is issued after 30 days; the subscription will continue until the end of the current paid month and will not renew thereafter.
  • Non-refundable items: setup fees, onboarding fees, completed consulting hours, and any third-party costs (e.g., domain registrations, licences) already incurred on your behalf.

7.3 Refund timing

Approved refunds are credited to the original payment method within 7-14 business days, subject to processing times of PayPal and your bank.

7.4 Chargebacks

If you initiate a chargeback without first contacting support, we reserve the right to suspend the Service immediately and to dispute the chargeback.

8. Service Levels

Standard support is provided via email during Indian Standard Time business hours (Mon-Fri, 10:00-19:00 IST), excluding public holidays. Specific response times and uptime commitments for managed services (e.g., managed VICIdial Cloud) are set out in the applicable service-level schedule attached to your individual commercial agreement. Absent such a schedule, the Services are provided on a best-efforts basis without an SLA.

9. Acceptable use

You agree not to, and not to permit others to:

  • use the Services for any unlawful, harmful, or fraudulent purpose;
  • send spam, telemarketing fraud, or any communication prohibited by the TRAI Telecom Commercial Communications Customer Preference Regulations, the US Telephone Consumer Protection Act, the CAN-SPAM Act, or similar laws;
  • use the VICIdial or dialer Services to make calls to numbers on "Do Not Call" registries without a lawful basis;
  • probe, scan, or test the vulnerability of our systems without prior written permission;
  • attempt to gain unauthorised access to any part of the Services or to any account;
  • reverse-engineer, decompile, or extract source code from any software we provide, except to the extent permitted by applicable law;
  • upload or transmit malware, viruses, or any harmful code;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • misrepresent your identity, affiliation, or the origin of any communication;
  • interfere with the Services or impose disproportionate load on our infrastructure.

Violation may result in immediate suspension or termination without refund.

10. Intellectual property

10.1 Our IP. The Website, the VanGuard product, the viti-license-manager plugin, our logos, and all associated software, documentation, and content are owned by VITI Security or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for their intended purpose during the term of your subscription.

10.2 Your content. You retain ownership of content you submit to the Services (files, configurations, call recordings, etc.). You grant us a worldwide, royalty-free licence to host, store, process, and display that content solely to provide and improve the Services.

10.3 Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use that feedback without obligation.

11. Third-party services

The Services may integrate with or link to third-party services (e.g., PayPal, Google Analytics, open-source VoIP components). Your use of any third-party service is governed by that provider's terms and privacy policy. We are not responsible for third-party services, their availability, or any loss arising from them.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the Services will be error-free, secure, or meet your specific requirements beyond what is expressly stated in a written agreement with you.

13. Limitation of liability

To the maximum extent permitted by law:

  • VITI Security, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with the Services;
  • our total aggregate liability for any claim arising out of or in connection with these Terms or the Services shall not exceed the total amount paid by you to VITI Security in the 12 months immediately preceding the event giving rise to the claim, or INR 10,000 (or USD 125), whichever is higher.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g., for fraud, gross negligence, or wilful misconduct).

14. Indemnification

You agree to indemnify and hold harmless VITI Security from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Services, (c) your violation of any applicable law, or (d) your infringement of third-party rights.

15. Termination

Either party may terminate a subscription in accordance with Section 7. We may terminate or suspend your access immediately, without notice, if you materially breach these Terms, if we believe your use poses a security risk, or if required by law. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnification) will survive.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to registered users and by posting a notice on the Website at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance.

17. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to Section 17.2, the courts at Patna, Bihar, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

17.1 For US customers, nothing in this Section limits any consumer protection right you may have under the law of your state of residence that cannot be waived by contract.

17.2 Either party may, as an alternative to litigation, elect to resolve any dispute by arbitration under the Arbitration and Conciliation Act, 1996 of India, to be conducted by a sole arbitrator in Patna, in the English language.

18. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any separate commercial agreement, constitute the entire agreement between you and us.
  • Severability. If any provision is held unenforceable, the remaining provisions will continue in full force.
  • No waiver. Our failure to enforce any right is not a waiver.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices. We will send notices to the email address on your account. You may send us notices at [email protected].
